Terms of Service

These Terms of Service (“Terms”) govern your use of the website at www.clickspace.com and the related tools and content we make available through it (the “Site”), operated by Clickspace Inc. (“Clickspace,” “we,” “us,” or “our”). By using the Site, you confirm that you have read, understood, and agree to these Terms.

01 Who we are

Clickspace Inc. is a company based in Calgary, Alberta, Canada. We build custom AI and software solutions for our clients and operate related resources through the Site, including informational content, our blog, project-inquiry tools, and our Startup Lab.

02 What these Terms cover

These Terms govern your use of the Site only. They are not a development agreement and do not create a client relationship.

Any actual engagement to design, build, deploy, or support software — and any incubator or equity arrangement — is governed by a separate written agreement between you and Clickspace (such as a proposal, statement of work, or master services agreement). Nothing on the Site obligates us to provide services, and browsing the Site or sending an inquiry does not create such an agreement. If these Terms conflict with a signed agreement, the signed agreement controls for that engagement.

03 Acceptable use

You agree to use the Site lawfully and not to:

  • Use the Site for any unlawful or fraudulent purpose;
  • Infringe the intellectual property or other rights of Clickspace or any third party;
  • Attempt to gain unauthorized access to, disrupt, or interfere with the Site, its servers, or its security; or
  • Copy, scrape, resell, or misuse Site content except as expressly permitted.

If we reasonably believe you are using the Site unlawfully or in breach of these Terms, we may limit, suspend, or terminate your access and take any legal steps available to us.

04 Project inquiries

When you contact us or submit a project request (for example, through “Start a Project”), you are asking us to consider working with you. Submitting an inquiry does not create any obligation on either side, and we may decline or not respond to any inquiry. Please do not send confidential or proprietary information through the Site before we have a written confidentiality or engagement agreement in place; information you submit through the Site is handled as described in our Privacy section and is not treated as confidential unless we agree otherwise in writing.

05 Startup Lab & incubator

Our Startup Lab and any related evaluations, scores, frameworks, or reports are provided for general informational purposes to help you assess a software or business idea. They are offered “as is,” without any guarantee of accuracy, outcome, or funding, and they are not investment, financial, legal, tax, or professional advice. You are responsible for your own decisions and should seek qualified advisors where appropriate.

As between you and Clickspace, you retain ownership of the underlying idea or business concept you submit. Clickspace retains all rights in its own tools, methods, frameworks, scoring models, and the format of any analysis or report we produce. Any incubation, build, or equity arrangement is optional and takes effect only under a separate written agreement signed by both parties.

06 Intellectual property

Unless otherwise stated, all content on the Site — including text, images, logos, graphics, documents, and the “Clickspace” name and branding — is owned by or licensed to Clickspace Inc. and is protected by applicable intellectual-property laws. You may view and use the Site for your own informational purposes, but you may not reproduce, distribute, or create derivative works from Site content without our prior written permission.

07 Third-party links & services

The Site may link to or reference third-party websites, tools, or services. We do not control and are not responsible for their content, availability, or practices. Links are provided for convenience and do not imply our endorsement.

08 Disclaimers

The Site and all content on it are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete, current, or accurate. Blog posts and other informational content reflect general views and are not professional advice.

09 Limitation of liability

To the fullest extent permitted by law, Clickspace Inc. and its directors, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

10 Indemnity

Except where prohibited by law, you agree to indemnify and hold harmless Clickspace Inc. and its directors, officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.

11 Governing law

These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict-of-laws principles. Our Site and services are intended for users in North America and are not directed to individuals outside North America.

12 Dispute resolution

If a dispute arises and cannot be resolved through informal discussion, you and Clickspace agree to submit the matter to a neutral mediator acceptable to both parties, with mediation costs shared equally; the mediator’s decision is non-binding. Nothing in this section prevents either party from bringing an action in small claims court or seeking injunctive relief or a remedy for intellectual-property infringement.

13 Privacy

Your use of the Site is also subject to our Privacy Policy, which explains how we collect and handle personal information. Please review it here.

14 Changes to these Terms

We may update these Terms from time to time to reflect changes in the law or in how we operate the Site. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Site after an update means you accept the revised Terms.
